This Data Processing Agreement (“Agreement”) is entered into between:

• Controller: FOUNDERGRAPH AI LIMITED, Company No. 16636391, Flat 5 Cherry Blossom Court, Palladian Gardens, London, W4 2DG (“Controller”); and
• Processor: any third-party service provider engaged by the Controller to process personal data on its behalf (“Processor”).

(together, the “Parties”).

1. Subject Matter

The Processor shall process personal data solely for the purpose of providing hosting, infrastructure, artificial intelligence processing, and related services to the Controller.

2. Roles of the Parties

• The Controller determines the purposes and means of processing.
• The Processor processes personal data only on documented instructions of the Controller.

3. Obligations of the Processor

The Processor shall:

a. Process personal data only in accordance with documented instructions from the Controller.

b. Ensure that persons authorised to process the data are subject to confidentiality obligations.

c. Implement appropriate technical and organisational measures to ensure data security.

d. Assist the Controller in fulfilling data subject rights requests.

e. Delete or return personal data upon termination of services, unless retention is required by law.

f. Make available all information necessary to demonstrate compliance and allow audits upon reasonable request.
